1. Acceptance of Terms

By accessing or using DARWN ("the Platform"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use the Platform.

2. Description of Service

DARWN is a healthcare talent claiming platform that enables healthcare workers, recruiters, medical students, and hospitals to participate in a marketplace for professional talent. Users can claim positions in healthcare professionals' career trajectories and earn returns based on career movements and job changes. All positions represent fractional payout rights in future placement fees, with early claimers receiving priority bonus allocations.

3. User Eligibility

To use the Platform, you must:

• Be at least 18 years of age
• Be a legal resident of the United States
• Complete identity verification applicable to your account type:
  • Workers: NPI verification
  • Hospitals: Organizational verification
  • Recruiters: Business verification
  • Students: Medical school enrollment verification (.edu email)
• Accept these Terms of Service and Platform Disclaimer

4. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

5. Claiming Rules

All claiming activity on the Platform is subject to the following rules:

• Claiming a worker is free and grants fractional payout rights
• Multiple users may claim the same worker, creating a fractional payout pool
• Early claimers receive priority bonus allocations in future placement fees
• Users may unclaim workers at any time, forfeiting their position in the payout pool

6. Privacy and Data

Healthcare professional information is anonymized on the Platform. Personal identifying information is only revealed to verified hospitals during the recruiting process. Data collected varies by account type (NPI data for workers, enrollment data for students, business data for recruiters, organizational data for hospitals). See our Privacy Policy for more details.

7. Prohibited Activities

Users may not:

• Submit false or misleading referral information
• Attempt to manipulate market prices
• Use the Platform for any illegal purpose
• Share confidential information about healthcare workers outside the Platform
• Create multiple accounts to circumvent referral limits

8. Limitation of Liability

DARWN is provided "as is" without warranties of any kind. We are not liable for any payout outcomes, career-related outcomes, or damages arising from use of the Platform.

9. Incorporated Agreements

The following agreements are incorporated by reference and form part of these Terms of Service:

• Claiming Agreement — governs all claiming activity, payout rules, and fractional allocation procedures
• Platform Disclaimer — risk warnings and acknowledgments required before claiming
• Acceptable Use Policy — rules of conduct on the platform
• Fee Schedule — all applicable fees and commissions
• Dispute Resolution Policy — procedures for resolving disputes
• Privacy Policy — how we collect, use, and protect your data
• Cookie Policy — how we use cookies

10. Electronic Communications

By using the Platform, you consent to receiving electronic communications from DARWN, including account notifications, transaction confirmations, policy updates, and legal notices. These electronic communications satisfy any legal requirement that such communications be in writing.

11. Modifications

We reserve the right to modify these terms at any time. Continued use of the Platform after modifications constitutes acceptance of the new terms.

12. Entire Agreement

These Terms of Service, together with the incorporated agreements listed in Section 9, the Employer Terms (for employer accounts), and the Enterprise Services Agreement (for enterprise clients), constitute the entire agreement between you and DARWN regarding your use of the Platform.
